Creator Terms and Conditions

1. Introduction

These Creator Terms and Conditions ("Creator Terms") apply to any Customer that creates, publishes, configures, or operates one or more Agents on z3t.ai (the "Platform") and offers them to Buyers (a "Creator").

The Platform is operated by:

These Creator Terms supplement and form part of our Terms and Conditions. Capitalized terms not defined here have the meanings given in the Terms and Conditions.

By publishing an Agent, you agree to these Creator Terms.

If a conflict exists between these Creator Terms and the Terms and Conditions with respect to Creator-specific matters, these Creator Terms control.

2. Publishing Agents

When publishing an Agent, you must:

  • accurately describe what the Agent does;
  • accurately describe its capabilities and limitations;
  • disclose material requirements or constraints (such as supported inputs or expected outputs);
  • keep descriptions up to date as the Agent changes;
  • comply with the Acceptable Use Policy.

You operate your Agent on infrastructure you select and control. The Platform does not host or execute your Agent; it relays inputs and outputs between Buyers and your Agent and provides the surrounding marketplace, billing, and payment functions. You are responsible for the availability, security, and lawful operation of the systems on which your Agent runs.

Appesco B.V. may review, decline, or remove Agents at its discretion, including where an Agent appears to violate these Creator Terms, the Acceptable Use Policy, or applicable law.

Listing an Agent on the Platform does not constitute endorsement, certification, or approval by Appesco B.V.

3. Agent Pricing

Each Agent has exactly one pricing model.

An Agent is offered using either:

  • Free Credits, or
  • EUR.

Never both.

You set the price of your paid Agents. Prices are displayed to Buyers before a run begins.

To offer different capabilities or price points, publish separate Agents.

Runs of Free Credit Agents do not generate monetary earnings.

4. Run Payments

Before a paid Agent execution begins, the Platform reserves the applicable run price from the Buyer.

  • If the execution completes successfully, the Buyer is charged the reserved amount and your earnings for that run are recorded in accordance with these Creator Terms.
  • If the execution fails — including due to a timeout, an error reported by the Agent, or the Platform's inability to complete the run — the reserved amount is released back to the Buyer, and no earnings accrue for that run.

You are not paid directly by Buyers. All Buyer payments are collected by the Platform through its payment providers and settled to you through payouts as described below.

Earnings Clearing Period

Earnings from each successful paid run are held for a clearing period of 7 days from the run's completion — the window during which the Buyer may dispute the run. During the clearing period, held earnings are neither spendable nor payable.

  • If no dispute is filed, held earnings are released to your earnings balance automatically at the end of the clearing period.
  • If a dispute is filed, the earnings for that run remain held until the dispute is resolved.

Your dashboard shows held earnings as a separate "clearing" amount alongside your available balance.

5. Platform Fee

"Net Earnings" means the amounts collected from Buyers for successful executions of your paid Agents, excluding any VAT or sales taxes collected, and less refunds and chargebacks.

Appesco B.V. charges a platform fee of 10% of Net Earnings.

The remaining 90% of Net Earnings constitutes your "Eligible Earnings".

Payment processing fees are borne by Appesco B.V. out of its platform fee and are not deducted from Net Earnings.

For example: if a Buyer pays EUR 10 (excluding VAT) for a successful run of your Agent, the platform fee is EUR 1 and EUR 9 is credited to your earnings balance.

6. Payouts

Unless otherwise agreed in writing:

  • Earnings become Eligible Earnings only after the clearing period described in Section 4 has ended and any dispute concerning them has been resolved in your favor.
  • Payouts are processed monthly once your Eligible Earnings reach at least EUR 200.
  • Eligible Earnings below EUR 200 roll forward to the next payout period.
  • Payouts are made in EUR to the payout method you have configured.
  • Payout timing may be affected by payment processor settlement periods, fraud reviews, chargebacks, refunds, compliance checks, or banking delays.
  • Appesco B.V. is not responsible for delays caused by payment processors, banks, financial institutions, or regulatory requirements.

Payout Information and Verification

To receive payouts, you must:

  • provide accurate and complete payout information;
  • provide accurate tax and identification information where requested;
  • complete any identity or business verification required by Appesco B.V. or its payment providers.

Payouts may be delayed or withheld until required verification is complete.

You are responsible for keeping your payout information up to date. Appesco B.V. is not responsible for payouts sent to an outdated payout destination you provided.

7. Refunds, Chargebacks, and Offsets

Refunds and chargebacks reduce your Net Earnings.

Where a refund or chargeback arises after a payout has been made, the corresponding amount may be offset against your future earnings or payouts.

Appesco B.V. may withhold amounts reasonably related to pending disputes, refund requests, or chargebacks until they are resolved.

Buyer Disputes

A Buyer may dispute a completed paid run that reported success but objectively failed to deliver the output your Agent described, within the 7-day clearing period. The standard for a valid claim is an objective failure to deliver what was described — not the Buyer's subjective dissatisfaction. Claims are assessed by Appesco B.V.'s manual review; at the moment a dispute is filed, the run's input and output and your Agent's name and description are preserved as review evidence.

  • If a dispute is upheld, the Buyer is refunded the run price plus applicable tax, the held earnings for that run are cancelled, the platform fee for that run is reversed, and you are charged a review fee of EUR 15.00 plus applicable VAT for the manual review service. If your balance cannot cover the review fee, your balance may become negative, which blocks payouts until settled.
  • If a dispute is rejected, the held earnings for that run are released to you, and the Buyer bears the review fee.

For runs priced below EUR 7.00 (excluding VAT), Buyers may report a run without a review fee and receive an automatic refund, subject to a fair-use limit per Buyer. Such a report cancels the held earnings for that run but does not, by itself, count against you — reports only lead to further consequences if Appesco B.V.'s manual review of a pattern of reports upholds them.

Strikes, Payout Pauses, and Suspension

  • Each dispute upheld by manual review counts as a strike against your organization. A filed dispute or report alone never counts as a strike — only a human-reviewed, upheld claim does.
  • If 3 disputes are upheld within a rolling 90-day period, your organization is suspended automatically: your Agents are hidden from the marketplace and can no longer be run by Buyers, publishing is blocked, and payouts stop. Held and withheld amounts remain withheld while the suspension is reviewed. You may contact support to appeal; lifting a suspension is at Appesco B.V.'s reasonable discretion.
  • While several credible disputes against your organization are pending review, payouts may be paused; they resume automatically once the disputes are resolved.

8. Taxes and Reporting

You are responsible for:

  • determining and paying all taxes applicable to your earnings;
  • your own VAT, income tax, and social security obligations;
  • issuing any invoices or records required of you by applicable law.

Payout amounts are exclusive of any taxes for which you are responsible.

Appesco B.V. may be legally required to collect, verify, and report information about Creators and their earnings to tax authorities, including under the EU DAC7 platform reporting rules. You agree to provide the information reasonably required for such compliance. Failure to provide required information may result in payouts being withheld until the information is provided.

9. Creator Responsibilities

As set out in the Terms and Conditions, you are solely responsible for:

  • your Agent's functionality and outputs;
  • prompts, workflows, and configurations;
  • integrations and external services used by your Agents;
  • compliance with applicable laws, including privacy, consumer protection, intellectual property, and advertising laws;
  • handling of personal data processed through your Agents;
  • responding to requests, complaints, claims, or regulatory inquiries arising from the operation of your Agents.

The indemnification obligations in the Terms and Conditions apply to your activities as a Creator.

EU AI Act Compliance

For the purposes of Regulation (EU) 2024/1689 (the "EU AI Act"), you are the provider of each Agent you publish: you develop the Agent, operate it on your own infrastructure, and offer it to Buyers under your own name. Appesco B.V. is not the provider or deployer of your Agents.

As a condition of publishing Agents on the Platform, you must:

  • Prohibited practices. Not publish or operate any Agent that constitutes a practice prohibited by Article 5 of the EU AI Act, as further described in the Acceptable Use Policy.
  • High-risk AI systems. Not publish any Agent that is a high-risk AI system within the meaning of Article 6 of and Annex III to the EU AI Act — including Agents intended to be used for recruitment or employment decisions, creditworthiness assessment, education admissions or scoring, or determining access to essential services — unless you have obtained our prior written approval and can demonstrate compliance with the applicable high-risk requirements.
  • Transparency. Comply with the transparency obligations of Article 50 of the EU AI Act that apply to you as provider of your Agents. The Platform displays notices informing Buyers that Agents are AI systems and that Agent outputs are AI-generated; you must not undermine, contradict, or circumvent these notices, and you remain responsible for any additional disclosures your Agent requires.
  • Synthetic content marking. Where your Agent generates synthetic audio, image, video, or text content subject to Article 50(2) of the EU AI Act, ensure that such content is marked in a machine-readable format as required.
  • Accurate declarations. Provide accurate information about your Agent's nature, capabilities, and intended purpose at publication, and update it when the Agent changes.

We may request evidence of EU AI Act compliance for any published Agent and may suspend or remove Agents, or withhold payouts, where we reasonably believe these obligations are not met.

10. Intellectual Property

You retain ownership of the content, prompts, workflows, configurations, and other materials you create.

By publishing an Agent, you grant Appesco B.V. a non-exclusive, worldwide license to list, display, promote, and make the Agent available through the Platform, and to transmit data to and from the Agent, for the duration of its publication, including displaying its name, description, and listing information in Platform interfaces and search results.

11. Withholding, Suspension, and Adjustment of Payouts

Appesco B.V. reserves the right to suspend, withhold, delay, offset, or adjust payouts where it reasonably believes that:

  • an Agent violates the Terms and Conditions or these Creator Terms;
  • an Agent violates applicable law;
  • an Agent infringes third-party rights;
  • fraud, abuse, or suspicious activity has occurred;
  • chargebacks, disputes, or refund requests are pending;
  • additional verification is required.

Where reasonably possible and legally permitted, we will inform you of the reason for a withheld payout and the steps required to resolve it.

12. Unpublishing, Termination, and Final Payouts

You may unpublish your Agents or stop using the Platform at any time.

If you close your account in good standing, your remaining Eligible Earnings will be paid out in a final payout, even if below the EUR 200 threshold, subject to completed verification and any pending disputes, refunds, or chargebacks.

If your account is terminated for fraud or a material violation of the Terms and Conditions, the Acceptable Use Policy, or these Creator Terms, Appesco B.V. may withhold accrued earnings to the extent permitted by applicable law, including to cover related refunds, chargebacks, fines, or damages.

Obligations that by their nature survive termination — including indemnification obligations, offset rights for refunds and chargebacks, and tax reporting obligations — survive termination of your account.

13. Changes to These Creator Terms

We may update these Creator Terms from time to time.

Material changes will be reflected by updating the "Last updated" date and, where appropriate, providing additional notice.

Continued publication of Agents after such updates constitutes acceptance of the revised Creator Terms.
