Terms and Conditions

1. Introduction

Welcome to z3t.ai.

These Terms and Conditions ("Terms") govern your access to and use of the z3t.ai website, platform, APIs, software development kits, and related services (collectively, the "Platform").

The Platform is operated by:

By accessing or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

These Terms incorporate and should be read together with our:

2. Definitions

Platform

The software, infrastructure, APIs, website, dashboard, and related services operated by Appesco B.V.

Customer

Any individual or organization that creates an account or uses the Platform.

Creator

A Customer that creates, publishes, configures, or operates one or more Agents on the Platform and offers them to Buyers, whether priced in EUR or in Free Credits.

Buyer

A Customer that executes, purchases, accesses, or interacts with an Agent.

Agent

A workflow, automation, AI application, integration, prompt chain, or other functionality created or configured by a Creator using the Platform.

First-Party Agent

An Agent published and operated by Appesco B.V. itself, as described in Section 3.

Third-Party Provider

Any external service used by an Agent or by the Platform, including AI model providers, infrastructure providers, payment processors, communication providers, and integrations.

3. Nature of the Platform

Appesco B.V. provides a marketplace and intermediation service that enables Customers to create, configure, publish, offer, and monetize AI-powered Agents and workflows.

Creators determine:

  • the purpose of their Agents;
  • prompts and instructions;
  • integrations and data flows;
  • AI model selection;
  • pricing and availability;
  • outputs and functionality.

Appesco B.V. does not create, review, endorse, supervise, control, or assume responsibility for the business logic, legality, accuracy, reliability, suitability, regulatory compliance, or outputs of Agents built by third-party Creators.

Creators remain solely responsible for the operation and compliance of their Agents.

Nothing in these Terms shall be interpreted as making Appesco B.V. the creator, operator, owner, controller, sponsor, or provider of any Agent built by a third-party Creator.

First-Party Agents

Appesco B.V. may itself publish and operate Agents on the Platform ("First-Party Agents"). First-Party Agents are identified in the marketplace by their publisher, Appesco.

For First-Party Agents, Appesco B.V. acts as the Creator: it assumes the responsibilities these Terms place on Creators, and it is the provider of those Agents for the purposes of the EU AI Act. Provisions of these Terms that disclaim Appesco B.V.'s responsibility for Agents built by third-party Creators do not apply to First-Party Agents.

First-Party Agents are otherwise subject to these Terms in the same way as any other Agent, including the Acceptable Use Policy, the run payment and refund rules, and the AI-Generated Output provisions below.

Agent Hosting and Execution

Agents built by third-party Creators are not hosted or executed on Platform infrastructure. Each such Agent runs on infrastructure selected, controlled, and operated by its Creator, and connects to the Platform through our software development kits and relay services. First-Party Agents run on infrastructure operated by Appesco B.V. and connect to the Platform in the same way.

When a Buyer runs an Agent, the Platform acts as an intermediary: it transmits the Buyer's inputs to the Agent, relays the Agent's outputs back to the Buyer, and provides the surrounding marketplace, billing, and payment functions. Appesco B.V. does not execute the workloads of third-party Creators' Agents and does not control the systems on which they run.

AI-Generated Output

All Agents offered on the Platform are AI systems. All output produced by an Agent is generated by artificial intelligence.

The Platform displays notices informing users that they are interacting with AI systems and that Agent outputs are AI-generated. Customers may not remove, obscure, or circumvent these notices.

EU AI Act

For the purposes of Regulation (EU) 2024/1689 (the "EU AI Act"):

  • the Creator of an Agent is the provider of that Agent, as the party that develops the Agent and makes it available to Buyers under its own name;
  • a Buyer that uses an Agent in the course of a professional activity may qualify as a deployer of that Agent;
  • Appesco B.V. is not the provider or deployer of any Agent built by a third-party Creator and does not assume the obligations of a provider or deployer under the EU AI Act with respect to such Agents;
  • Appesco B.V. is the provider of First-Party Agents and of the AI features it develops and operates itself as part of the Platform (such as the conversational input assistant used to prepare Agent runs), and provides the transparency notices required for those.

Creators must comply with the EU AI Act obligations set out in the Creator Terms and Conditions and the Acceptable Use Policy, including the prohibitions on the practices listed in Article 5 of the EU AI Act and the transparency obligations of Article 50 of the EU AI Act.

4. Accounts

You must:

  • provide accurate and complete registration information;
  • maintain the security of your credentials;
  • maintain access to your authentication methods;
  • promptly notify us of unauthorized account activity.

The Platform may require multi-factor authentication.

You are responsible for all activities performed through your account.

You may not share accounts in a manner that circumvents Platform restrictions or security requirements.

5. Credits, Fees, Payments, and Creator Payouts

The Platform may use credits, subscriptions, usage-based billing, or other pricing models.

Creators may set pricing for their Agents.

All fees are exclusive of applicable taxes unless otherwise stated.

Payments are processed by third-party payment providers. Appesco B.V. does not store complete payment card information.

Free Credits and EUR Balance

Agent runs are funded in one of two ways:

  • Free Credits — a promotional allocation used to run Free Credit Agents;
  • a prepaid EUR balance — used to run paid Agents.

Free Credits:

  • have no cash value;
  • are non-transferable unless explicitly permitted;
  • may expire where an expiration period is disclosed at the time of issuance;
  • are not redeemable for cash.

The EUR balance is funded through top-ups processed by our payment providers. Top-ups may be subject to a minimum purchase amount displayed at the time of purchase.

Unused EUR balance is not refundable except as described under Consumer Right of Withdrawal below or as required by applicable law.

Appesco B.V. may suspend access to paid services in the event of failed or overdue payments.

Consumer Right of Withdrawal

If you top up your EUR balance as a consumer in the European Union, European Economic Area, or United Kingdom, you may have a statutory right to withdraw from the purchase within fourteen (14) days.

  • Within 14 days of a top-up, you may request a refund of the unused portion of that top-up by contacting [email protected].
  • By starting a paid Agent run, you expressly request immediate performance and acknowledge that you lose your right of withdrawal for that run once it has been fully performed.
  • Amounts spent on completed runs are not refundable.

Run Payments and Refunds

Before a paid Agent execution begins, the Platform reserves the applicable run price from the Buyer.

  • If the execution completes successfully, the Buyer is charged the reserved amount and the Creator's earnings balance is credited in accordance with these Terms.
  • If the execution fails — including due to a timeout, an error reported by the Agent, or the Platform's inability to complete the run — the reserved amount is released back to the Buyer, and no Creator earnings accrue for that run.

Runs priced in Free Credits follow the same principle: Free Credits are deducted only for successful executions.

Disputes for Completed Paid Runs

If a paid Agent run reports success but objectively fails to deliver the output the Agent described, the Buyer may dispute the run. A dispute is not available for results a Buyer is merely dissatisfied with — the standard is an objective failure to deliver what was described, as assessed by Appesco B.V.'s manual review.

The following applies to disputes:

  • A dispute must be filed within 7 days of the run's completion. Only completed runs paid from the EUR balance can be disputed; failed runs are refunded automatically as described above. Each run can be disputed once.
  • Runs priced at EUR 7.00 or more (excluding VAT) are handled as formal disputes. Filing a formal dispute requires a review fee of EUR 15.00 plus applicable VAT, which is reserved from the Buyer's EUR balance while the claim is manually reviewed. The Buyer must have sufficient balance to cover this fee at the time of filing.
    • If the claim is upheld, the Buyer is refunded the full run price plus applicable tax, and the review fee is returned in full.
    • If the claim is rejected, the reserved review fee is charged as the price of the manual review service.
  • Runs priced below EUR 7.00 (excluding VAT) can be reported without a review fee and are refunded automatically, subject to a fair-use limit per Buyer over a rolling period. Reports beyond that limit require contacting support.
  • Buyers whose formal disputes are repeatedly rejected may temporarily lose the ability to file further disputes.
  • Dispute decisions are made by Appesco B.V. following manual review and are final, without prejudice to the Buyer's statutory rights.

While a dispute is pending, the corresponding Creator earnings are withheld. The Creator-side consequences of disputes are described in the Creator Terms and Conditions.

Platform Fee and Creator Payouts

Creators may be eligible to receive payouts based on usage of their paid Agents, as further described in the Creator Terms and Conditions.

"Net Earnings" means the amounts collected from Buyers for successful executions of a Creator's paid Agents, excluding any VAT or sales taxes collected, and less refunds and chargebacks.

Appesco B.V. charges a platform fee of 10% of Net Earnings. The remaining 90% of Net Earnings constitutes the Creator's eligible earnings. Payment processing fees are borne by Appesco B.V. out of its platform fee and are not deducted from Net Earnings.

Unless otherwise agreed in writing:

  • Payouts are processed monthly once a Creator's eligible earnings reach at least EUR 200.
  • Eligible earnings below EUR 200 roll forward to the next payout period.
  • Refunds and chargebacks arising after a payout has been made may be offset against the Creator's future earnings or payouts.
  • Payout timing may be affected by payment processor settlement periods, fraud reviews, chargebacks, refunds, compliance checks, or banking delays.
  • Creators are responsible for providing accurate payout and tax information.
  • Appesco B.V. is not responsible for delays caused by payment processors, banks, financial institutions, or regulatory requirements.

Appesco B.V. reserves the right to suspend, withhold, delay, offset, or adjust payouts where it reasonably believes that:

  • an Agent violates these Terms;
  • an Agent violates applicable law;
  • an Agent infringes third-party rights;
  • fraud, abuse, or suspicious activity has occurred;
  • chargebacks, disputes, or refund requests are pending;
  • additional verification is required.

6. Creator Responsibilities

If you create, publish, or operate an Agent, the Creator Terms and Conditions apply to you in addition to this section.

You are solely responsible for:

  • the Agent's functionality;
  • prompts and instructions;
  • integrations and external services;
  • outputs generated by the Agent;
  • pricing and disclosures;
  • compliance with applicable laws;
  • handling of personal data;
  • obtaining required permissions, notices, and consents.

Creators are responsible for ensuring that their Agents comply with applicable:

  • privacy laws;
  • consumer protection laws;
  • intellectual property laws;
  • advertising laws;
  • AI regulations, including the EU AI Act;
  • industry-specific regulations.

Creators may not:

  • misrepresent Agent functionality;
  • publish unlawful or deceptive Agents;
  • violate the rights of third parties;
  • process personal data without an appropriate legal basis.

Creators are solely responsible for responding to requests, complaints, claims, regulatory inquiries, or legal obligations arising from the operation of their Agents.

7. Buyer Responsibilities

Buyers are responsible for evaluating whether an Agent is appropriate for their intended use.

Buyers acknowledge that:

  • Agents are AI systems developed and operated by their publishers — third-party Creators or, in the case of First-Party Agents, Appesco B.V.;
  • all Agent outputs are AI-generated;
  • AI-generated outputs may contain errors, omissions, or inaccuracies and must be independently reviewed before being relied upon.

A Buyer that uses an Agent in the course of a professional activity is responsible for its own obligations as a deployer under the EU AI Act, including informing the persons affected where required.

Buyers must not:

  • submit unlawful content;
  • submit data they are not authorized to share;
  • attempt to bypass security controls;
  • interfere with Platform operations;
  • use the Platform for unlawful purposes;
  • use Agent outputs in violation of applicable law.

Buyers remain responsible for decisions made based on Agent outputs.

8. Acceptable Use

All Customers must comply with our Acceptable Use Policy, which forms part of these Terms.

Violation of the Acceptable Use Policy may result in suspension, removal of content, withholding of payouts, termination of access, or other enforcement actions.

9. Data Protection and Privacy

Our handling of personal data is described in our:

Where a Creator configures an Agent to process personal data, the Creator is responsible for determining the purposes and means of that processing.

Appesco B.V. may act either as a controller or processor depending on the specific processing activity being performed.

10. Third-Party Providers and Integrations

Agents may interact with Third-Party Providers selected or configured by a Creator.

Such providers may include:

  • AI model providers;
  • APIs;
  • databases;
  • communication platforms;
  • cloud services;
  • CRM systems;
  • customer support platforms;
  • external integrations.

Use of those providers may be subject to separate terms and privacy policies.

Appesco B.V. is not responsible for the availability, performance, security, accuracy, legality, or compliance of Third-Party Providers selected by a Creator.

Where a Creator configures an Agent to send data to a Third-Party Provider, such disclosure occurs at the direction of the Creator.

11. Intellectual Property

Appesco B.V. retains all rights, title, and interest in the Platform, including its software, documentation, trademarks, branding, and infrastructure.

Creators retain ownership of content, prompts, workflows, configurations, and other materials they create.

By publishing an Agent, a Creator grants Appesco B.V. a non-exclusive, worldwide license to list, display, promote, and make the Agent available through the Platform, and to transmit data to and from the Agent, for the duration of its publication.

12. Service Availability

The Platform is provided on a commercially reasonable basis.

We do not guarantee:

  • uninterrupted availability;
  • error-free operation;
  • continuous access;
  • compatibility with all systems;
  • availability of any specific Agent.

We may modify, suspend, restrict, or discontinue portions of the Platform at any time.

Where reasonably practical, we will provide advance notice of material service changes.

13. Security

Appesco B.V. maintains technical and organizational measures designed to protect Platform data and infrastructure.

While Appesco B.V. secures the Platform infrastructure, Creators remain responsible for the infrastructure on which their Agents run and for the configuration, prompts, integrations, workflows, external services, and data processing activities associated with their Agents.

14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPESCO B.V. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE DO NOT WARRANT:

  • THE ACCURACY OF AGENT OUTPUTS;
  • THE LEGALITY OF AGENTS;
  • THE SUITABILITY OF AGENTS FOR ANY PARTICULAR PURPOSE;
  • THAT OUTPUTS ARE FREE FROM ERRORS OR OMISSIONS;
  • THAT AGENTS WILL ACHIEVE ANY SPECIFIC RESULT.

ALL AGENT OUTPUTS ARE AI-GENERATED. CUSTOMERS MUST INDEPENDENTLY REVIEW AND EVALUATE ANY OUTPUT BEFORE RELYING ON IT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPESCO B.V.'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO APPESCO B.V. DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

APPESCO B.V. SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • LOSS OF PROFITS;
  • LOSS OF REVENUE;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION;
  • DAMAGES ARISING FROM AGENT OUTPUTS;
  • DAMAGES ARISING FROM THIRD-PARTY SERVICES;
  • DAMAGES ARISING FROM CREATOR-CONFIGURED AGENTS;
  • DAMAGES ARISING FROM CUSTOMER DATA OR CONTENT.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Appesco B.V., its directors, officers, employees, contractors, affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, fines, penalties, and reasonable legal fees arising out of or relating to:

  • your use of the Platform;
  • your violation of these Terms;
  • content, data, or materials submitted by you;
  • your violation of applicable laws or regulations;
  • your infringement of third-party rights.

If you act as a Creator, this indemnification specifically includes claims arising from:

  • the operation of your Agents;
  • prompts, workflows, and configurations you create;
  • outputs generated by your Agents;
  • integrations and third-party services configured by your Agents;
  • personal data processed through your Agents;
  • representations, pricing, or descriptions associated with your Agents;
  • alleged violations of privacy, intellectual property, consumer protection, advertising, or other applicable laws.

These indemnification obligations survive termination of your account and these Terms.

17. Suspension and Termination

We may suspend or terminate access where necessary to:

  • protect Platform security;
  • comply with legal obligations;
  • investigate misuse;
  • prevent harm to users or third parties;
  • enforce these Terms.

Customers may stop using the Platform at any time.

Termination does not affect obligations that by their nature survive termination, including intellectual property rights, payment obligations, indemnification obligations, and liability limitations.

18. Governing Law

These Terms are governed by the laws of The Netherlands.

Any dispute arising from or relating to these Terms shall be submitted to the competent courts of The Netherlands unless otherwise required by applicable law.

19. Changes to These Terms

We may update these Terms from time to time.

Material changes will be reflected by updating the "Last updated" date and, where appropriate, providing additional notice.

Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
